There are several key issues which surround CadMex Pharma entering into a contractual relationship with Gentura. As you are fully aware, CadMex Pharma currently is in the process of licensing their technology and providing Gentura with the expertise in exchange for marketing rights to Propez. However, there are many crucial factors that must be considered with regard to Gentura’s breach of contract. CadMex Pharma needs to consider and fully understand the situation from a legal, ethical and business perspective. More importantly a recommendation and clear direction needs to be established in order for CadMex Pharma to move forward. Within this memo you will find my analysis and recommendation.
Gentura is a separate legal entity and is incorporated under the laws of Candore. Gentura can enter into a contract and can sue and be sued. Regardless of the fact that Gentura is incorporated, all international business transactions are subject to the approval of the Candorean government. Candore’s intellectual resources continue to attract huge foreign investments, which is the primary reason that CadMex Pharma determined to enter into the contract with Gentura. The Candorean government is a majority stake holder in Gentura.
The alliance between CadMex Pharma and Gentura has proven successful. Evidence of that success can be seen in the cross-licensing agreements of several drugs as well as shared technology. As part of CadMex Pharma’s move forward strategy with Gentura, we as a company agreed to gave the rights of ViroBlax to Gentura. However, these rights were only applicable to the country of Candore. All cross-licensing agreements continued based upon Candorean Regualtions for Technology Import Contracts and International Arbitration with a binding clause.
