Shang-WA and Lester Electronics, Inc (LEI) are both being threatened by different companies of a hostile takeover. LEI was established in 1978 by Bernard Lester and is a domestic manufacturer that use capacitors in both consumers and industrial products. John Lin is founder of Shang-wa Electronics located in Korea and manufactures capacitors. LEI has an Exclusive Supply Agreement with Shang-Wa where under the contract, Shang-wa has granted Lester the exclusive right to sell Shang-wa capacitors in the United States for 65 years. The agreement states LEI has to maintain a minimum annual purchase of 1 million wholesale. In exchange, Shang-wa cannot knowingly sell its capacitors to anyone...
